1. Agreement to Terms

By accessing or using the AXM Studio platform at ai.axmstudio.com (the “Platform”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Platform.

AXM Studio (“we,” “us,” or “our”) provides an AI-powered Shopify development consulting platform where customers can scope projects, receive quotes, and engage our development services.

2. Eligibility

You must be at least 18 years old and capable of entering into legally binding agreements to use the Platform. By using the Platform, you represent and warrant that you meet these requirements.

3. Account Registration

  • You may create an account using Google OAuth, email and password, or Shopify SSO.
  • You are responsible for maintaining the confidentiality of your account credentials.
  • You agree to provide accurate and complete information during registration.
  • You are responsible for all activities that occur under your account.
  • You must notify us immediately of any unauthorized use of your account.

4. Services

4.1 Service Description

We provide Shopify development services including but not limited to: theme customization, landing page development, full store builds, bug fixes, performance and SEO optimization, store setup, and app integrations. Service details, scope, and pricing are determined through our AI consultation process and confirmed in a formal quote.

4.2 AI Consultation

Our Platform uses AI technology to help scope your project and generate quotes. While our AI consultant is trained on extensive Shopify development data, the AI-generated quotes and scopes are estimates. Final deliverables are produced by human developers. The AI consultation is provided free of charge with no obligation.

4.3 Service Categories

Our services are organized into the following categories, each with specific pricing models:

  • Theme Customization: Hourly-based pricing for custom sections, style changes, and modifications.
  • Landing Pages: Package-based pricing by complexity tier.
  • Full Store Builds: Package-based pricing; requires a project inquiry and deposit arrangement.
  • Bug Fixes: Diagnostic fee plus repair costs based on complexity.
  • Performance & SEO: Two-phase approach (audit report followed by optimization work).
  • Store Setup: Hourly-based pricing for configuration and data management.
  • App Integration: Hourly or tiered pricing depending on complexity.

5. Quotes & Pricing

5.1 Quote Generation

Quotes are generated during the AI consultation based on your described requirements. Each quote includes a detailed scope of work with line-item pricing. Quotes are valid for 14 days from the date of generation unless otherwise stated.

5.2 Quote Acceptance

By approving a quote on the Platform, you agree to the scope of work and pricing described in that quote. Approval triggers the creation of a Shopify draft order for payment processing. No work begins until payment is confirmed.

5.3 Pricing Transparency

All prices are quoted in USD. The price shown in your quote is the total amount due for the described scope of work. There are no hidden fees. If additional work beyond the original scope is needed, we will provide a separate quote for your approval before proceeding.

6. Payment

6.1 Payment Processing

Payments are processed through Shopify's secure payment infrastructure via draft orders. We accept the payment methods available through Shopify Payments. We do not directly store your payment information.

6.2 Payment for Standard Services

For standard services (theme customization, landing pages, bug fixes, performance optimization, store setup, app integration), full payment is required before work begins.

6.3 Payment for Full Store Builds

Full store build projects follow a consultation-first process. After your AI consultation, a project manager will contact you within 24 hours to discuss details. These projects require a deposit of 40–50% before work begins, with the remaining balance due upon project completion and your approval.

6.4 Refund Policy

If we are unable to deliver the agreed-upon scope of work, you are entitled to a full refund. For bug fix services, if we cannot resolve the issue, you are only charged the diagnostic fee. Refund requests must be submitted within 14 days of delivery. Refunds are processed through the original payment method.

7. Project Delivery

7.1 Timeline

Estimated delivery times are provided in the quote and vary by service type. Bug fixes are typically completed same-day. Custom sections take 2–3 business days. Full store builds take 3–10+ business days depending on scope. These are estimates and not guaranteed deadlines.

7.2 Store Access

For most services, we need collaborator access to your Shopify store. After payment, we will email you requesting a 4-digit collaborator code. You are responsible for providing timely access. Delays in providing store access may extend the delivery timeline.

7.3 Delivery & Review

Completed work is delivered through the Platform. You will be notified by email when deliverables are ready for review. You can review the work, provide feedback, and accept delivery through your order dashboard.

7.4 Revisions

Each project includes revision rounds. You may submit feedback (including screenshots and video) through the Platform. We will implement revisions within the original scope of work. After using the included revision rounds, additional revisions may require a supplementary quote.

7.5 Acceptance

Once you accept delivery through the Platform, the order is marked as completed. If you do not respond to a delivery notification within 14 days and have not submitted feedback, the delivery will be deemed accepted.

8. Intellectual Property

8.1 Your Content

You retain ownership of all content, brand assets, images, and materials you provide to us. By sharing content through the Platform, you grant us a limited license to use it solely for the purpose of completing your project.

8.2 Deliverables

Upon full payment, you receive full ownership of all custom code, designs, and other deliverables created specifically for your project. This includes custom Liquid code, CSS, JavaScript, and design assets created for your Shopify store.

8.3 Pre-Existing Materials

We retain ownership of any pre-existing tools, frameworks, code libraries, and methodologies used in the creation of your deliverables. You receive a perpetual, non-exclusive license to use these materials as part of your delivered project.

8.4 Portfolio Rights

Unless otherwise agreed in writing, we reserve the right to display completed work in our portfolio and marketing materials. If you require confidentiality, please notify us before the project begins.

9. Customer Responsibilities

You agree to:

  • Provide accurate and complete project requirements during consultation.
  • Respond to communications and requests for store access in a timely manner.
  • Review deliverables and provide feedback within reasonable timeframes.
  • Ensure you have the right to share any content or materials you provide.
  • Maintain active Shopify subscriptions and accounts necessary for the services.
  • Not use the Platform for any unlawful or prohibited purpose.

10. Limitation of Liability

To the maximum extent permitted by law:

  • Our total liability for any claim arising from or related to these Terms or the services shall not exceed the total amount you paid to us in the 12 months preceding the claim.
  • We are not liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, or lost data.
  • We are not liable for any issues arising from third-party services (Shopify, payment processors, hosting providers).
  • We are not responsible for lost revenue or business impact resulting from changes to your Shopify store during or after our work.

11. Disclaimer of Warranties

The Platform and services are provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that: the Platform will be uninterrupted or error-free, AI-generated quotes will be perfectly accurate, any specific business results will be achieved from our services, or deliverables will be free from all defects (though we will make reasonable efforts to correct issues reported during the revision period).

12. Cancellation

12.1 Before Payment

You may cancel at any time before making payment at no cost. Quotes not acted upon will expire after 14 days.

12.2 After Payment, Before Work Begins

If you wish to cancel after payment but before work has started, you may request a full refund.

12.3 After Work Has Begun

If you wish to cancel after work has begun, you will be charged for work completed to date. We will provide a breakdown of completed work and process a partial refund for any undelivered scope.

13. Account Termination

We reserve the right to suspend or terminate your account if you: violate these Terms, engage in fraudulent or abusive behavior, fail to pay for services, or provide false information. Upon termination, your right to use the Platform ceases immediately. Completed deliverables you have already paid for remain yours.

14. Dispute Resolution

If you have a dispute regarding our services, please contact us first at the email below. We will make a good-faith effort to resolve the issue. If we cannot resolve the dispute informally, any legal action shall be brought in the courts of the applicable jurisdiction.

15. Changes to Terms

We may update these Terms from time to time. We will notify users of material changes by posting the updated Terms on this page with a new “Last updated” date. Your continued use of the Platform after changes constitutes acceptance of the updated Terms.

16. Miscellaneous

  • Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and AXM Studio regarding the Platform.
  • Severability: If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in full effect.
  • Waiver: Failure to enforce any provision of these Terms does not constitute a waiver of that provision.
  • Assignment: You may not assign your rights under these Terms without our prior written consent. We may assign our rights without restriction.
